End User License Agreement & SaaS Terms

Scope of Services

The Platform provides ingestion, transformation, and export of business data to third-party systems (e.g., Applied Systems Epic BOB Tool). It uses third-party infrastructure including cloud hosting and database services.

License Grant

You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes.

Data Ownership & Rights

You retain all rights to your uploaded and processed data. We access it only to ingest, process, and transform per these Terms.

Data Storage & Transformation

• Subprocessors: See our Subprocessor List available at all times prior to acceptance.
• AI Features: The Platform includes native AI features integral to functionality. Use of the Platform entails AI processing; there is no opt-out.
• HIPAA/PHI: Do not store/process PHI. We disclaim liability for misuse involving PHI.
• Security Standards: We apply administrative, technical, and physical safeguards consistent with industry practices; no system guarantees 100% security.
• Data Deletion: Upon written request, we delete data within 30 business days unless retention is legally required.

AI, Privacy, and Consent (GDPR/HIPAA/SOX)

• Consent Records: We maintain consent in-platform via a Data Processing Consent dialog with audit logs. You may withdraw consent in-app at any time without affecting prior lawful processing.
• GDPR: We act as Processor for customer data. We apply data minimization, purpose limitation, RLS-based access controls, encryption in transit and at rest, and audit logs. Data subject rights (access, rectification, erasure, portability) may be exercised by submitting a written request to our privacy contact; we will respond within the timeframe required by applicable law.
• HIPAA: The Platform is not intended for PHI. No BAAs are provided; do not submit PHI.
• Sarbanes-Oxley (SOX): We support controls and auditability of changes (audit logs, configuration tracking) but SOX compliance remains your responsibility.

Indemnification & Hold Harmless

You will indemnify and hold harmless HBC and its affiliates from claims arising from your use, breach, or data processing activities.

Limitation of Liability

To the fullest extent permitted by law, our total liability shall not exceed the fees paid by you in the thirty (30) days (one month) preceding the event giving rise to the claim. We are not liable for indirect, incidental, punitive, or consequential damages.

Acceptable Use; Automated Access

You may not use robots, crawlers, scrapers, or other automated means to access the Platform, nor engage in any unauthorized access or abuse of rate limits, APIs, or data extraction via third-party software or services.

User Responsibilities

• Keep credentials secure; use lawful purposes only.
• Do not upload malicious/illegal content.
• Comply with all applicable laws and third-party terms.

Intellectual Property

All rights in the Platform remain with HBC and its licensors. No reverse engineering or derivative works.

Term & Termination

We may suspend/terminate for breach. Upon termination, your license ends and data may be deleted per retention policy.

Governing Law & Venue

Florida law governs; venue in courts located in or serving Sumter County, Florida.

Modifications

We may update these Terms; material changes will be notified. Continued use constitutes acceptance.
